1. Eligibility. NO PURCHASE NECESSARY TO ENTER OR WIN. SIERRA ONLINE, A DIVISION OF VIVENDI GAMES, INC. ("SPONSOR") IS THE SPONSOR OF THIS ASSAULT HEROES 2 SEASON PREMIERE PLAY & WIN SWEEPSTAKES ("SWEEPSTAKES"). MYGAMERCARD ("PRESENTER") IS THE SOLE PRESENTER OF THIS SWEEPSTAKES. THIS SWEEPSTAKES IS OPEN ONLY TO THOSE WHO ARE THIRTEEN (13) YEARS OF AGE OR OLDER AS OF May 14, 2008 ("ENTRANTS"). IF YOU ARE NOT THIRTEEN (13) YEARS OF AGE OR OLDER YOU ARE NOT ELIGIBLE TO WIN A PRIZE. To be eligible to win a prize, entries must be completed and received by Presenter in the format designated below. Directors, officers and employees of Presenter or Sponsor, its parent, and any of their respective affiliate companies, subsidiaries, agents, professional advisors, advertising and promotional agencies, and immediate families of each are not eligible to win any prizes. All applicable federal, state and local laws and regulations apply. Offer void where prohibited. In the event of any dispute, entries will be deemed to have been submitted by the owner of the GamerTag the entry was sent.

2. Disclaimer. Presenter, Sponsor, all participating sponsors and any of their respective parent companies, subsidiaries, affiliates, directors, officers, professional advisors, employees and agencies will not be responsible for: (a) any late, lost, misrouted, garbled or distorted or damaged transmissions or entries; (b) telephone, electronic, hardware, software, network, Internet, or other computer- or communications-related malfunctions or failures; © any Sweepstakes disruptions, injuries, losses or damages caused by events beyond the control of Presenter or Sponsor; or (d) any printing or typographical errors in any materials associated with the Sweepstakes.

3. Sweepstakes Period. The Sweepstakes shall commence on May 14, 2008 at 4:01 AM Eastern Time ("ET"), and end on June 1, 2008 at 11:59 PM ET ("Sweepstakes Period").

4. Prize. Sixteen (16) qualified entrants ("Prize Winner(s)") shall be chosen, in which each has the ability to receive one of the following: (i) one (1) grand prize winner of 20,000 Microsoft Points (Valued at US $250.00); (ii) one of fifteen (15) runner-up prizes of 4,000 Microsoft Points each (valued at US $50.00). All prizes are region-coded for the United States.

Odds of winning a prize depend on number of eligible entries received. ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZES ARE THE SOLE RESPONSIBILITY OF THE WINNER.

All prizes will be awarded. A Prize Winner will be shipped the Prize within thirty (30) days of being qualified as the winner of the Sweepstakes. Limit one (1) Prize per eligible Entrant. Prizes are not transferable. No substitutions or exchanges (including for cash) of any prizes will be permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value for any prize. All prizes are awarded "AS IS" and WITHOUT WARRANTY OF ANY KIND, express or implied, (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose)

6. Determination of Winners. Drawings for prizes will take place one (1) week following the end of the Sweepstakes Period. Prize Winners will be notified by e-mail within fourteen (14) days after the Sweepstakes Period. All notifications shall be sent via email to the email address associated with the user account. To claim a prize, winners should follow the instructions contained in their email notification. Prizes returned as undeliverable or otherwise not claimed within fifteen (15) days after delivery of notification will be forfeited and awarded to an alternate winner. Each Entrant may only win once during the Sweepstakes Period; odds of winning depend on the number of entries received.

7. Collection of Information. The information collected to enter the Sweepstakes will be used to contact you in the event that you are chosen to receive a prize. Additionally, Presenter may use this information in accordance with their Terms and Conditions. As stated above, the Sweepstakes is not open to children under the age of thirteen (13). In the event that you are under the age of thirteen (13) years and submit an entry to Presenter, Presenter will delete, erase or destroy any and all personally identifiable information that is obtained from the entry.

8. General Release. By entering the Sweepstakes, you release Sponsor, participating sponsors and any of their respective parent companies, subsidiaries, affiliates, directors, officers, employees and agencies (collectively, the "Released Parties") from any liability whatsoever, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Sweepstakes or delivery, misdelivery, acceptance, possession, use of or inability to use any prize (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory.

9. Affidavit & Release. As a condition of being awarded any prize, winners will be required to execute, have notarized, and deliver to Sponsor an Affidavit of Eligibility (as provided by Sponsor), which includes an acceptance of these Official Rules and a release of liability. Failure to do so within the time set forth in each winner's email notification will result in disqualification of the winner and an alternate winner will be selected to receive the Prize. Additionally, the winner agrees that entry and/or acceptance of Prize/s constitutes permission for the Sponsor and their agencies to use the winner's name, address (city and state) and/or likeness for advertising and trade purposes without further compensation, worldwide and in perpetuity, in any and all forms of media, now known or hereafter devised, including without limitation Internet, unless prohibited by law.

10. Winners List/Rules Request. To obtain a copy of these rules, send a stamped, self-addressed business-size envelope to Sponsor at the following address: ASSAULT HEROES 2 Play & Win Sweepstakes -Rules Request, c/o Vivendi Games, 6060 Center Drive, 5th Floor, Los Angeles, CA 90045. Residents of WA and VT may omit return postage.

12. Miscellaneous. The Sweepstakes and these Official Rules will be governed, construed and interpreted under the laws of the United States. Entrants agree to be bound by these Official Rules and by the decisions of Sponsor, which are final and binding in all respects. Sponsor reserves the right to change these Official Rules at any time, in its sole discretion, and to suspend or cancel the Sweepstakes or any Entrant's participation in the Sweepstakes should viruses, bugs, unauthorized human intervention or other causes beyond Sponsor's control affect the administration, security or proper play of the Sweepstakes or Sponsor otherwise becomes (as determined in its sole discretion) incapable of running the Sweepstakes as planned. Entrants who violate these Official Rules, attempt to defraud or tamper with the operation of the Sweepstakes or engage in any conduct that is detrimental or unfair to Sponsor, the Sweepstakes or any other Entrant (in each case as determined in Sponsor's sole discretion) are subject to disqualification from entry into the Sweepstakes and may be prosecuted to the full extent of the law. Sponsor reserves the right to lock out persons whose eligibility is in question or who have been disqualified or are otherwise ineligible to enter the Sweepstakes.
